
Sam Moultrie, Esq. Greenberg Traurig, LLP
Sam is an associate at Wilks, Lukoff & Bracegirdle, LLC and concentrates his practice in corporate and commercial litigation in Delaware state and federal courts. Sam regularly represents investors in the Court of Chancery in complex litigation involving corporate governance, mergers and acquisitions, books and records demands, and securities laws. Sam also defends Delaware entities, directors, and officers in a variety of matters including breach of fiduciary duty claims, fraud allegations, and trade secret and tortious interference claims. Some of his notable representations include: Representation of former executive of financial institution in a white collar criminal prosecution, securities and exchange commission investigation, and a federal class-action securities fraud case; Prosecution of breach of fiduciary duty case involving a multimillion dollar two-step scheme concluding in a freeze-out merger of minority shareholders; Prosecution of breach of fiduciary duty case involving a self-tender and subsequent $1.3 billion freeze-out merger of minority shareholders; Recovery in excess of $1 million for shareholders and six-figure attorneys’ fee for supplement disclosures in minority freeze-out merger of micro-cap company; and successful defense of a lender and individual principal in case involving allegations of fraud and fraudulent transfer of assets.
Sam received a B.A., cum laude, in communications from Upper Iowa University, an M.A. in political science from Regent University, and his J.D. from Regent University School of Law, where he received the 2013 Regent Law Corporate, Commercial, Transactional Law award. Sam is a member of the Delaware State Bar Association, the Federal Bar Association, and the American Bar Association. Sam also serves on several boards of directors including the Delmarva Community Blood Foundation, Inc. (treasurer), OperaDelaware, Inc., The Next Generation North of the Delaware Community Foundation, and is the treasurer for the Trinity Vicinity Neighborhood Association. Sam is also a volunteer Big Brother with Big Brothers Big Sisters of Delaware, and has done volunteer work for the Blood Bank of Delmarva, and the Rodney Street Tennis & Tutoring Association.
